TERMS AND CONDITIONS

NOTE: These terms and conditions are subject to changes or revisions without notice.

THESE TERMS AND CONDITIONS HAVE BEEN ESTABLISHED AND AUTHORIZED BY THE BOARD OF GOVERNORS OF PBSS ON-LINE SYSTEM (PRIVATE BUYING AND SELLING SYSTEM).

CLAUSE 1 - The PRIVATE BUYING AND SELLING SYSTEM On-Line(herein after called - - - (PBSS), is basically and advertising media publication and an internet information service provider to Public Corporations, their Stockholders, Transfer Agents, Banks, and Buyers or Sellers of securities. PBSS is a service entity and does not itself recomend, buy or sell securities.  The buying or selling of the securities involved is a private transaction between the seller and the buyer.

CLAUSE 2 - The Transfer Agent or Bank's function is to transfer securities and hold escrow funds only and is in no manner or form a party to the sale or purchase of securities.

CLAUSE 3 - No buyer or seller is charged any broker commission on the PBSS system.  Only the Issuer (the Public Corporation) pays a MONTHLY SERVICE PROVIDER FEE of $200 to PBSS  (payable in advance). In addition, the Issuer (the Public Corporation) pays a ONE TIME Installation and Set-Up Charge of $1,500.  PBSS reserves the right to cancel its service permanently if the Issuer (Public Corporation) does not pay the required monthly fees on timr, or in any way conducts it's business in violation of any Federal Securities and Exchange Commission or any State Securities Laws, rules or regulations.  

CLAUSE 4 - No restricted (UNREGISTERED) securities are to be presented by a seller for sale on the PBSS system.  It will be the responsibility of the Transfer Agent and the Seller to be sure that securities presented for sale are either registered securities, or exempt from registration with the Securities and Exchange Commission as covered by appropriet SEC rules and regulations or by a Legal Opinion Letter acceptible by the Transfer Agent.  PBSS is in no manner or form involved in the determination as to whether or not the securities presented for sale are registered with the Securities and Exchange Commission or any State Attorny General's Office (Securities Agency) or any other registration requirements by law.

NOTE:  ADDITIONAL CLAUSES WILL PERIODICALLY BE ADDED TO THESE TERMS AND CONDITIONS AS AUTHORIZED BY THE BOARD OF GOVERNORS AND AS THE PBSS SYSTEM IS DEVELOPED AND EVOLVES.
